Terms & Conditions of Supply

These terms govern all commercial quotations, purchase orders, container bookings, and international supply of natural stone products executed by Stoneviens Surfaces.

01.

Scope of Commercial Agreement

These Terms and Conditions constitute the master commercial agreement between Stoneviens Surfaces (“the Exporter” / “the Seller”) and any purchasing party, importer, project developer, stone fabricator, or architectural firm (“the Buyer”).

By issuing a purchase order, countersigning a commercial Proforma Invoice (PI), establishing an export Letter of Credit (LC), or remitting advance container deposit funds, the Buyer unequivocally accepts these Terms and Conditions as overriding any conflicting clauses in Buyer’s purchase instruments unless expressly agreed in writing under corporate seal.

Natural Stone Characteristics & Inherent Variations

Natural granite, quartzite, marble, and sandstone are authentic geological products formed through ancient metamorphic and igneous processes over millions of years. Every extracted block and calibrated slab possesses inherent variations in veining, crystalline grain, tonal drift, micro-fissures, and mineral pigmentation.

Geological Notice: Physical sample chips and digital photographs represent typical aesthetic characteristics and average mineral distributions only. Authentic natural stone cannot and will not be an identical twin of any single reference chip.

  • ✓ Veining & Flow: Directional grain movement, color concentration, and crystalline clusters naturally evolve across quarry benches.
  • ✓ Natural Dry Seams & Resin Treatment: High-grade epoxy resin treatment and fiberglass mesh backing applied during primary processing are standard international industry practices for exotic granites and crystalline quartzites.
  • ✓ Block Matching: Stoneviens bundles matching slabs sequentially cut from the identical numbered quarry block to safeguard continuity across large projects.

Quotations, Proforma Invoices & Orders

All formal price quotations issued by Stoneviens Surfaces remain valid for a standard period of fifteen (15) calendar days from date of issuance, subject to ongoing quarry block availability and maritime ocean freight stability.

Orders become contractually binding upon Stoneviens Surfaces only upon receipt of the mutually countersigned Proforma Invoice accompanied by the agreed financial instrument (confirmed Letter of Credit or advance wire transfer deposit).

Standard commercial orders are scheduled based on 20-foot Full Container Loads (FCL). Orders requiring custom cut-to-size formats require approved shop drawings prior to factory line cutting.

Delivery Protocols & Incoterms® 2020

All international trade deliveries are executed in strict adherence to the International Chamber of Commerce Incoterms® 2020 rules. The governing Incoterm is explicitly indicated on each Proforma Invoice:

  • ✓ FOB (Free On Board - Port of Mundra / Nhava Sheva): Stoneviens bears all factory costs, export duties, inland Indian freight, and loading onto ocean vessel. Risk of loss transfers to the Buyer once cargo crosses the ship’s rail.
  • ✓ CIF / CFR (Cost, Insurance & Freight / Cost & Freight): Stoneviens procures maritime freight and standard Institute Cargo Clauses (C) marine insurance to the designated destination seaport. Unloading charges and customs clearance at destination remain Buyer’s sole responsibility.
  • ✓ Ex-Works (Factory Yard): Available upon request for buyers utilizing dedicated in-country forwarders.

Tolerances, Calibration & Quality Inspection

Stoneviens Surfaces operates multi-blade gangsaw frames, diamond wire saws, and computerized automated line polishers meeting EN 12057 and ASTM C615 international natural stone tolerances:

  • ✓ Thickness Calibration: Calibrated gangsaw slabs adhere to a tight tolerance of ±1.0 mm for 20mm and 30mm slabs. Cut-to-size tiles follow ±1.0 mm thickness and ±0.5 mm diagonal squareness tolerance.
  • ✓ Surface Gloss: Polished finishes maintain minimum 85+ gloss units using calibrated electronic glossmeters.
  • ✓ Third-Party Pre-Dispatch Inspection: Buyers are warmly invited to appoint independent international inspection agencies (such as SGS, Bureau Veritas, or TÜV) to inspect crates prior to factory container stuffing.

Packaging, ISPM-15 Crating & Container Weight

Safe maritime transit is paramount. Stoneviens Surfaces employs heavy-duty, certified packaging tailored to rough sea passage:

  • ✓ ISPM-15 Certified Timber: All wooden crates, A-frames, and wooden pallets undergo heat treatment (HT) or methyl bromide fumigation and bear official plant quarantine export stamps.
  • ✓ Protection Layering: Slabs are separated by thick polythene protective sheeting, corrugated foam corners, and reinforced steel strapping with rubber edge protectors.
  • ✓ Container Payload Management: Container loading strictly complies with destination road payload limits (typically 21–27 metric tonnes per 20ft container based on destination port country regulations).
07.

Commercial Terms & Settlement Protocols

Unless otherwise agreed under formalized corporate credit agreements, international export transactions are settled through:

  • ✓ Telegraphic Transfer (T/T): Standard 30% advance deposit upon Proforma Invoice confirmation to commence block sawing and fabrication; balance 70% payable against presentation of original Bill of Lading (B/L) copy and export packing list.
  • ✓ Letter of Credit (L/C): 100% Irrevocable, Confirmed Letter of Credit at sight, issued by a prime international commercial bank.

Title of supplied materials transfers to the Buyer strictly upon full settlement of all invoiced amounts. Risk in transit transfers in according with designated Incoterm.

08.

Inspection, Delivery & Notice of Claims

Upon container arrival at destination port or customer warehouse, the Buyer is required to inspect crates for external seal integrity and transit impacts:

Claims Notification Window: Any claim concerning dimensional non-conformity or processing defect must be communicated in writing within fourteen (14) calendar days of container de-stuffing, prior to slab dry-cutting, fixing, or installation.

Claims must be supported by high-resolution digital photographs, crate serial numbers, and full bundle traceability tags. In no event shall Stoneviens Surfaces be liable for stone that has already been cut, altered, or installed by job-site fabricators.

09.

Force Majeure & Maritime Delays

Neither party shall be held liable for delivery failures or delays resulting from events beyond reasonable control, including but not limited to acts of God, extreme monsoon flooding, quarry geological disruptions, strikes, port congestion, maritime shipping line route cancellations, international trade embargos, or armed conflict.

In such circumstances, production schedules and delivery timetables shall be extended by a duration commensurate with the delay incurred.

10.

Governing Law, Arbitration & Legal Jurisdiction

These Terms and Conditions and all associated commercial contracts shall be governed by and interpreted under the laws of India.

Any dispute arising out of or in connection with supply agreements that cannot be resolved amicably within thirty (30) days shall be referred to final and binding commercial arbitration under the Arbitration and Conciliation Act, conducted in the English language with legal seat in India.
